Pre-Law Affiliate Program: Terms and Conditions

By signing up for the Affiliate program, you agree to the following terms and conditions.

Duration

This Agreement will continue indefinitely but may be terminated by either party for any reason with 30 days advance written notice (which may be provided by email). Upon termination, LSAT Lab will disable the Unique Discount Code and Unique Tracking Link (as defined below). Within 30 days of termination, LSAT Lab will pay Afilliate any commissions owed for sales made using the Unique Discount Code or Tracking Link prior to termination.

Unique Discount Code

LSAT Lab will offer all of Affiliate’s members a mutually agreed-upon discount on the member’s first purchase on LSAT Lab.  The discount will be made available through a unique discount code that each Affiliate member will use during online checkout to obtain such discount. This code (the “Unique Discount Code”) will be used by Company to track sales generated by Affiliate.

Tracking Link

LSAT Lab will provide the Affiliate a Unique Tracking Link that may be shared with members.  This link will be used by LSAT Lab to track sales generated by Affiliate.

Referral Activities 

Affiliate will distribute the Unique Discount Code and Unique Tracking Link to members at such times and in such a manner as Affiliate deems appropriate in light of its existing relationships and engagement opportunities with such students. LSAT Lab will work collaboratively with Affiliate to maximize the success of such recommendations through such initiatives as may be agreed to from time to time by both parties (for example, holding joint webinars).

Compensation

For a sale to generate a commission for Affiliate, the eligible customer must be considered a “conversion.” In order to be considered a “conversion,” a customer must:

• Use a qualified, correctly structured affiliate link or use the promo code provided by LSAT Lab
• Upgrade to a paid plan within 30 days of following the link

Customers who use the tracking link but do not remit any payment for a product are not considered a conversion. Affiliates will be credited a conversion only once for each paying customer; if the same customer makes multiple purchases using the tracking link, the affiliate will not receive additional payouts. Providing the customer with the proper link or promo code is the sole responsibility of the affiliate. Payouts, conversions, and other tracking data can be viewed through the Everflow dashboard.

If Affiliate refers another organization to become an affiliate of LSAT Lab, they may be eligible for additional payouts. The referred organization must:

• Complete the affiliate signup process through Everflow
• Be approved by LSAT Lab as an affiliate
• Identify Affiliate as a referring organization in the sign-up process

Once the above conditions are met, Affiliate is eligible for:

• $50 for each of the first ten conversions from the referred organization

For each eligible sale, Affiliate will earn a payout of $50. Payments will be processed by LSAT Lab by the fourth business day of each month using the billing information entered by Affiliate into Everflow. 

Memberships

The enrolling officer is eligible for one free membership to LSAT Lab, as described below. For each five eligible conversions, Affiliate will be granted one additional membership to LSAT Lab. For any of these memberships, Affiliate will earn one six month Classroom Plan.

Conversions will be tallied and memberships granted at the end of each month. 

Promotional Materials

By entering an affiliate partnership with LSAT Lab, the affiliate grants permission for LSAT Lab to list the affiliate and its logo as a partner in promotional materials.

Non-disparagement

 While this Agreement is in effect, and for a period of 12 months thereafter, both parties agree not to make, issue, or cause any disclosures or statements that are intended or might reasonably be anticipated to disparage the other party or its products, services, or personnel.

Forum Selection & Choice of Law

This Agreement will be governed by and construed in accordance with the laws of the State of California, without regard to any choice of law rules. Any dispute between the parties shall be litigated in a state or federal court located in San Diego County, California.

Miscellaneous

This Agreement may only be amended with the written consent of both parties. This Agreement contains the entire agreement between the parties and supersedes any and all prior agreements (oral or written) between the parties. This Agreement is intended to be severable such that if any provision is deemed unenforceable by a court, such unenforceability shall not affect the validity of any other provision.
